Please read these Terms of Service carefully before registering, ordering, or accessing the SIHIPAK sweets B2B corporate and partner platforms.

1. Introduction & Agreement

Welcome to SIHIPAK Premium Sweets ("SIHIPAK", "we", "us", or "our"). These Terms & Conditions outline the rules, regulations, and guidelines for using the SIHIPAK B2B Corporate Portal, Bakery Partner Portal, and the main public website.

By accessing this website, creating accounts, or submitting orders, you warrant that you represent a legitimate business entity registered under Indian Law and accept these terms in full. If you do not agree to all terms stated here, please terminate your portal use immediately.

This document constitutes an electronic record in terms of the Information Technology Act, 2000, and rules thereunder as applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

2. Corporate B2B Client Terms

Corporate Clients registering on our portal are granted bulk pricing privileges, customized branding options, and wholesale purchasing terms. The following rules govern Corporate Accounts:

  • Minimum Order Quantity (MOQ): All corporate catalog purchases require a minimum order value of 25,000 per shipment. Orders below this threshold will not qualify for B2B pricing tiers.
  • GST Compliance: Businesses must provide a valid Goods and Services Tax Identification Number (GSTIN) during registration to receive eligible tax inputs. SIHIPAK will not be liable for any credit losses resulting from incorrect GSTIN entries by clients.
  • Credit Terms: Credit facility limits (e.g., Net 15 or Net 30 days payments) are subject to creditworthiness evaluations and direct approval by SIHIPAK management. We reserve the right to suspend credit accounts at our discretion without prior notice.
  • Custom Branding Approvals: For corporate gift boxes, packaging modifications must be approved in writing. Once corporate brand assets (logos, colors) are finalized and printing is initiated, no changes can be requested, and the order cannot be cancelled.

3. Bakery Partner Terms

Bakeries registered as Fulfillment Partners on our platform to supply bulk sweets and packages agree to strictly uphold our premium quality standards:

  • Quality Standards: All items supplied must adhere strictly to FSSAI standards, food packaging regulations, and SIHIPAK brand specification metrics. No synthetic food colors or unapproved preservatives may be utilized.
  • Fulfillment Timeline: Bakery Partners must dispatch orders within the timeframes specified in the Partner Dashboard (usually 24–48 hours for standard recipes). Late dispatches exceeding 3 occurrences per quarter will lead to partner score reduction or suspension.
  • Recipe Compliance: Bakeries must adhere to SIHIPAK standardized recipe measurements, weight distributions, and ingredient qualities to ensure consistency across the brand ecosystem.
  • Platform Commission: SIHIPAK retains a base commission on partner sales according to the signed Partner Service Agreement. Commissions are calculated on the net selling price excluding taxes.

🚨 Quality Audits: SIHIPAK reserves the right to conduct unscheduled inspections of registered bakery kitchens to verify hygiene standards and FSSAI guidelines compliance.

4. Account Registration & Security

To use our B2B and Partner services, you must complete the registration form and upload legitimate trade certificates (FSSAI license, PAN, GST certificate, or local municipality trade license). You are fully responsible for maintaining the confidentiality of your credentials (username, password, OTP validation) and preventing unauthorized use of your dashboard.

If you suspect any unauthorized entry or security breach on your account, notify SIHIPAK Support immediately. SIHIPAK will not be liable for losses caused by unauthorized access, but you may be held liable for any damages incurred by us due to unauthorized usage.

5. Order Placement & Acceptance

All orders placed via the corporate or bakery dashboards constitute an offer to purchase. SIHIPAK reserves the right to accept or decline orders depending on raw ingredient availability, transit capabilities, or partner capacity.

Upon order placement, a digital receipt will be emailed. However, order confirmation is finalized only when dispatched or confirmed by our operations desk. For custom corporate gifting items, cancellations are not permitted once production begins.

6. Payments, Taxes & Invoicing

Payment terms are detailed on each invoice. Unless credit terms are explicitly pre-approved, all orders must be paid in full prior to dispatch using supported payment pathways (UPI, Bank Transfer, Credit/Debit cards).

Late payments on corporate credit facilities accrue interest at a rate of 18% per annum, calculated daily from the due date until the invoice is settled in full. SIHIPAK reserves the right to withhold subsequent shipments until all outstanding dues are cleared.

7. Shipping, Delivery & Logistics

We deliver bulk orders across multiple operating regions in India. While we strive to meet all requested delivery timelines, shipping delays caused by weather conditions, carrier delays, festivals, or local restrictions are beyond our direct control.

Delivery confirmation forms must be signed by the receiver at the point of delivery. Risks of damage or loss transfer to the client immediately upon delivery confirmation. It is the receiver's responsibility to verify the physical integrity of packages before signing.

8. Refunds, Returns & Disputes

Due to the perishable nature of gourmet sweets, returns are not accepted unless the items received are visibly damaged or incorrect at the time of delivery. Any claims for shortages or damage must be logged on the platform within 24 hours of delivery, accompanied by photo/video proof.

Accepted dispute refunds will be credited back to the original source payment account within 7 to 10 business days.

9. Product Shelf Life & Storage Guidelines

Gourmet Indian sweets are highly sensitive to temperature and humidity. The following guidelines must be followed to ensure product freshness:

  • Storage Conditions: Sweets must be stored in a clean, dry, and cool place away from direct sunlight. Milk-based sweets (e.g., Pedas, Mawa-based sweets) must be refrigerated immediately upon arrival.
  • Shelf Life Disclaimer: The shelf life stated on the packaging (ranging from 3 to 30 days depending on the sweet category) is only valid if the storage guidelines are strictly adhered to.
  • Liability Limitation: SIHIPAK and its partner bakeries are not responsible for spoilage resulting from improper storage, delayed opening of boxes, or exposure to excessive heat after delivery.

10. Intellectual Property Rights

All content, designs, graphics, branding elements, software source code, recipes, product catalogs, and databases accessible on the SIHIPAK platforms are the exclusive intellectual property of SIHIPAK Foods Private Limited and its licensors.

Unauthorized copying, reproduction, extraction, or commercial exploitation of any part of this platform without prior written consent from SIHIPAK is strictly prohibited and subject to legal action under Indian copyright laws.

11. Limitation of Liability & Indemnity

In no event shall SIHIPAK, its directors, officers, employees, or partner bakeries be liable for any indirect, incidental, special, or consequential damages arising out of the use of our services or products.

Our maximum aggregate liability for any claim arising from a product purchase shall not exceed the total transaction amount paid by the customer for that specific order.

You agree to indemnify and hold SIHIPAK harmless from any third-party claims, losses, or legal costs arising from your breach of these Terms & Conditions or violation of any regulatory standard.

12. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of India.

Any disputes, claims, or legal proceedings arising out of or related to these Terms, the platform, or the products supplied shall be subject to the exclusive jurisdiction of the courts located in Mysore, Karnataka, India.

13. Force Majeure

SIHIPAK and its partner bakeries shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control (a "Force Majeure Event").

A Force Majeure Event includes any act, event, non-occurrence, omission, or accident beyond our reasonable control and includes, in particular, the following:

  • Strikes, lock-outs, or other industrial action.
  • Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war, or threat or preparation for war.
  • Fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic, or other natural disaster.
  • Impossibility of the use of railways, shipping, aircraft, motor transport, or other means of public or private transport.
  • Impossibility of the use of public or private telecommunications networks.
  • Pandemic lockdowns, quarantine restrictions, or government decrees/bans affecting production or delivery.

14. Privacy & Data Protection

Your privacy is important to us. Our Privacy Policy governs the processing of all personal data collected from you in connection with your registration or transactions on the platform.

We implement strict industry-standard encryption protocols (including 256-bit SSL encryption) to protect your sensitive corporate data, transaction history, and credentials. In compliance with the Information Technology Act, 2000, we do not share your private business details with third-party advertising companies without your explicit permission.

15. Product Representation Disclaimers

Since our premium sweets are handcrafted by artisan chefs and bakery partners, slight variations in color, size, texture, and taste may occur. The images displayed on our digital catalog are for representation purposes only.

We do not guarantee that the product delivered will look exactly identical to the catalog images. However, we warrant that the weight and ingredients will strictly comply with your order invoice parameters.

16. Termination of Accounts & Services

SIHIPAK reserves the right, in its sole discretion, to terminate your account access or suspend portal privileges at any time, with or without notice, for reasons including but not limited to:

  • Breach of any provision of these Terms & Conditions.
  • Long-term account inactivity (exceeding 12 consecutive months).
  • Default in payment of invoices beyond credit limit timelines.
  • Suspected fraudulent, illegal, or unethical business practices.
  • Failure of Bakery Partners to meet hygiene, FSSAI, or recipe quality standards during quality audits.

17. Severability & Non-Waiver

If any court or competent authority decides that any of the provisions of these Terms are invalid, unlawful, or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by law.

If we fail, at any time during the term of these Terms, to insist upon strict performance of any of your obligations, or if we fail to exercise any of the rights or remedies to which we are entitled, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.

18. Entire Agreement

These Terms & Conditions, along with the Privacy Policy, Cookie Policy, and (where applicable) Corporate Credit Agreements or Bakery Partner Service Agreements, constitute the entire agreement between you and SIHIPAK Foods Private Limited regarding the use of the platform and purchase of products.

They supersede any prior agreements, representations, oral promises, or understandings between the parties.
